Terms and Agreements

This contract may be canceled by either of the two parties involved in the contract Ready. Power. Market. and/or any of its subsidiaries and the client in the binding agreement. Either party must provide a minimum of 30 days notice cancellation and the client will be billed one final bill after the receipt of cancellation. In addition to the cancellation policy, a formal 30 day notice is required for an upgrade or downgrade of services. The above-signed Authorized Signature ("Customer") agrees to pay in advance non-refundable web development fees and first month’s installment, payable upon the signing of this agreement, the determined fee is based on the package selected at sign up. Insite Motion, Inc., doing business as Ready. Power. Market. provides a variety of services including, but not limited to, web development, hosting, website maintenance, social media marketing, Google Ad Words, traditional marketing, reputation management and all other services detailed and agreed upon between the client and Insite Motion, Inc. and any of its subsidiaries. All mailer coupons and representations shall be the responsibility of Customer. Ready. Power. Market. does not adhere to contracts outside of a month-to-month agreement. Payments are due monthly and can be paid via credit card or direct debit from a checking account in the business name. Payments are billed on the monthly anniversary of the contract commitment. If a customer fails to make their monthly payment, Ready. Power. Market. Reserves the right to terminate the business relationship effective immediately, after two failed billing transactions (consecutive or nonconsecutive), the non-paying client will be billed a non-refundable $25 convenience fee per failed transaction. Customer is responsible for any and all collection costs or litigation costs arising from collection efforts related to this contract.  Ready Power Market is not responsible for incomplete customer information, accuracy, and loss of customers due to poor performance in the shop, legality or safety of any social media recommendations, business practices covered in our services. If Ready. Power. Market. is unable to perform any previously agreed upon services due to a lack of information provided by the client party, this does not relieve the client of any financial responsibility and Ready. Power. Market. will not provide a partial or whole refund for any such instances. This agreement shall be governed by and construed in accordance with the laws of the state of Kansas.

Ready Power Market Technology Materials

The customer shall be responsible to provide Ready. Power. Market. with all materials necessary to perform the web development and social media marketing services, including, without limitation, initial customer contact information upload, shop logos, promotional materials, sales offer concepts and such other information as requested by Ready. Power. Market. throughout the duration of the business relationship as outlined in this agreement. In the event of a cancellation on behalf of either party, the website content and images provided by Insite Motion, Inc. and any of its subsidiaries will be retained by Insite Motion, Inc., including but not limited to all website content, social media content and marketing content. Should the customer decide they want to purchase the website outright, they have the right to do so after 12 consecutive months of a contractual agreement, in any such case, the client must provide hosting and maintenance services. Client will be responsible for all updates and there is a one-time, non-refundable, non-negotiable fee of $2,500. This fee excludes any access to social media graphics or future materials. On the topic of customer data privacy, Ready. Power. Market. will keep all data, other than reviews and service history, confidential. You grant Ready. Power. Market., its agents, assigns and subcontractors a royalty free license to use the customer service history information. In particular, these customer reviews and testimonials may be provided to third parties in the form of Yelp, Insiderpages, Twitter, Newsletters, and Facebook in an effort to promote your business. You hold Ready. Power. Market., its agents and assignees harmless and waive all claims, which may arise out of such use.

Training

Customer agrees to provide Ready Power Market with owner, manager or service writer time, during normal office hours, to conduct the training on-line or on-site for a non-refundable separate fee, which will be discussed at the time of scheduling. Such training usually includes a teleconference while doing a web demonstration and training session. Ready. Power. Market. shall provide monthly marketing reports to customers via email. If within contract terms, Ready. Power. Market. shall provide the social media updates and marketing repositioning efforts based on data delivered by method agreed upon between Ready. Power. Market. and Customer. Ready. Power. Market. will provide a proofing opportunity to each customer prior to website launch. If Customer does not notify Ready Power Market of any corrections or discrepancies with respect to the proof during initial setup, Customer will be deemed to have approved it as is and shall thereafter be precluded from bringing any claim regarding it.

Liability and Service Limitations

It is expressly agreed that the liability of Ready. Power. Market. or any damages arising out of the website development and/or social media marketing and positioning efforts to Customer, whether caused by the negligence of Ready. Power. Market. employees or otherwise, is limited to actual damages, but shall in no event exceed $50.00 or one month's basic monthly charge, whichever is less. Social Media updates, which are collective across all platforms, will be limited to a maximum 25 in a rolling 30-business-day period. Customer agrees to not use the service for illegal or illegitimate purposes, and that such use constitutes grounds for termination of customer’s service. Customer shall hold Ready. Power. Market. harmless for any damages related to such use.

Billing

Payments are billed on the monthly anniversary of the contract commitment. If a customer fails to make their monthly payment, Ready. Power. Market. Reserves the right to terminate the business relationship effective immediately, after two failed billing transactions (consecutive or nonconsecutive), the non-paying client will be billed a non-refundable $25 convenience fee per failed transaction. Ready. Power. Market. reserves the right to terminate service due to lack of contact, lack of payment, or due to a suspicious nature of business procedures on the part of the Customer. Credit card statement will show Insite Motion, Inc (Ready. Power. Market. parent company). Customer authorizes automatic monthly recurring payments from the customer’s chosen method of billing and is responsible for any billing updates. Should the customer fail to pay their bill within 7 (Seven) days of the billing date, Ready. Power. Market. reserves the right to deactivate the delinquent customer’s website and any affiliated services until billing debts have been satisfied. All payments made to Ready. Power. Market. for any and all services are non-refundable and non-negotiable regardless of extenuating circumstances.
