Welcome to readypowermarket.com (the “Site”), operated by Insite Motion, Inc., doing business as Ready Power Market (“RPM,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Site and all related services, tools, content, and communications provided by RPM, including our SMS/text messaging program.

By accessing or using the Site or any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Site and our services immediately.

1. Eligibility

You must be at least 18 years of age to use the Site and our services. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Site on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Ready Power Market (RPM) provides automotive and business services, including but not limited to consulting, operational solutions, and related service offerings. We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of our services.

3. User Accounts and Registration

Certain features of the Site may require you to create an account or provide personal information. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Site and our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site
• Introduce any viruses, malware, or other harmful material to the Site
• Attempt to gain unauthorized access to any portion of the Site, other accounts, or any systems or networks connected to the Site
• Use any automated means, including bots, scrapers, or spiders, to access or collect data from the Site without our express written permission

6. Intellectual Property Rights

All content on the Site, including but not limited to text, graphics, logos, images, software, and the overall design and arrangement thereof, is the property of Insite Motion, Inc. d/b/a Ready Power Market or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from the Site without our prior written consent.

The Ready Power Market and RPM names, logos, and all related trademarks, service marks, and trade names are the property of Insite Motion, Inc. Nothing in these Terms grants you any right to use any of our trademarks without prior written permission.

7. Third-Party Links and Content

The Site may contain links to third-party websites, services, or content that are not owned or controlled by RPM. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that RPM shall not be responsible or liable for any damage or loss caused by or in connection with your use of any third-party websites or services.

8. Disclaimer of Warranties

THE SITE AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RPM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSITE MOTION, INC. D/B/A READY POWER MARKET, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE AMOUNT YOU HAVE PAID TO RPM, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Insite Motion, Inc. d/b/a Ready Power Market, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your infringement of any third-party rights.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in the State of Kansas, and you consent to the personal jurisdiction of such courts.

12. Termination

We reserve the right to suspend or terminate your access to the Site and our services at our sole discretion, without notice, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification obligations, and limitations of liability.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Insite Motion, Inc. d/b/a Ready Power Market regarding your use of the Site and supersede all prior or contemporaneous agreements, understandings, or representations, whether written or oral.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make changes, we will revise the “Effective Date” at the top of this page. Your continued use of the Site following the posting of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
